Commissioner Terms

1. What this is

These terms apply when you create a pool on All Paid Out in cash mode ("Commissioner Pool"). Commissioner Pools are separate from our sweepstakes prize pools and operate under different rules. Sweepstakes pools are governed by our Sweepstakes Rules.

2. Software-only role

All Paid Out is a software provider. For Commissioner Pools we do not, at any point:

• Collect, hold, escrow, or transmit entry fees;
• Receive, hold, or distribute prize money or winnings;
• Process payments between players and the commissioner;
• Act as a stakeholder, broker, or intermediary of any kind.

The commissioner collects all entry fees directly from players off-platform (Venmo, Zelle, cash, etc.) and pays winners directly off-platform.

3. Commissioner responsibilities

By creating a Commissioner Pool you represent and agree that:

• You are 18 or older (21+ where required by law).
• Your pool is a private, invitation-only social pool among people you personally know.
• You will not list, advertise, or promote the pool to the general public.
• You are solely responsible for collecting entry fees and paying winners in full and on time.
• You are solely responsible for compliance with all laws and regulations applicable in your jurisdiction and the jurisdictions of your players, including any laws relating to social gambling, money transmission, taxation, and reporting.
• You will not accept entries from anyone you do not personally know.
• You will not operate Commissioner Pools as a commercial gambling business.

4. Subscription & fees

Pro Commissioner is a monthly subscription that grants access to unlimited Commissioner Pools and related software features. Subscription fees are non-refundable except where required by law. The subscription fee is a fee for software access only — it is not, and must not be characterized as, a share of any pool, an entry fee, or a rake.

5. Disputes between players

Any dispute about payment, payout, or pool conduct is between the commissioner and the players. All Paid Out is not a party to those disputes and will not arbitrate, mediate, refund, or guarantee any off-platform payment.

6. Prohibited jurisdictions & conduct

You may not use Commissioner Pools in any jurisdiction where doing so violates applicable law, or to facilitate any unlawful activity. We may suspend or remove pools that violate these terms or that we reasonably believe operate outside the private social-pool model described above.

7. No warranty; limitation of liability

The software is provided "as is" without warranty of any kind. To the maximum extent permitted by law, All Paid Out is not liable for any unpaid entry fee, unpaid payout, chargeback, tax obligation, regulatory penalty, or any other loss arising out of a Commissioner Pool. Our aggregate liability for any claim related to a Commissioner Pool is capped at the subscription fees you paid us in the prior 12 months.

8. Indemnification

You agree to indemnify and hold All Paid Out harmless from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of your Commissioner Pool, your collection or distribution of money, your players' conduct, or your breach of these terms.

9. Changes

We may update these terms from time to time. Material changes will be announced in-app or by email. Continued use of Commissioner Pools after a change means you accept the updated terms.
